1. Sponsored Content

Sponsor has created or represents the game identified above (the "Game"). Creator will produce the sponsored Feature or Features described in this Agreement featuring the Game.

A "Feature" is one game-focused sponsored video concept produced by Creator. Where multiple publishing platforms are listed, Creator may publish platform-specific versions of the same Feature. Those platform-specific versions are part of the same Feature and do not count as separate billable Features unless the Parties expressly agree otherwise in writing.

Creator may adapt a Feature as reasonably appropriate for each platform and format, including runtime, aspect ratio, editing, captions, title, description, thumbnail or cover image, and other presentation details. Creator will create or select thumbnails or cover images as Creator deems appropriate for the applicable platform and format.

Creator may determine whether the YouTube version of each Feature is published as a YouTube Short or as a standard YouTube video, and a multi-Feature engagement may include both formats.

2. Creative Approach and Editorial Control

The sponsored Features will use Creator's usual puzzle-focused presentation style. Sponsor may provide suggested talking points, factual information, brand assets, puzzle or feature recommendations, and preferred link text.

Creator retains final editorial control over each Feature's content, tone, wording, solve process, presentation, and opinions expressed. Sponsor may not require Creator to make statements that Creator does not believe are accurate or honest, present a scripted reaction as genuine, guarantee a particular solve outcome, or otherwise misrepresent Creator's experience.

Creator agrees not to knowingly make false statements about the Game. Sponsor acknowledges that honest reactions, observations, solve difficulty, and constructive comments may be part of the Features.

3. Sponsor Materials and Access

Sponsor will provide any materials reasonably needed to produce the Features, which may include:

  1. The Game URL and any access Creator reasonably needs to use or record the Game.
  2. Specific puzzles, modes, features, or topics Sponsor recommends featuring.
  3. Logos, images, or other brand assets Sponsor wants Creator to consider using.
  4. Factual notes or product information Creator should understand before recording.
  5. The requested destination link for descriptions, captions, pinned comments, on-screen text, or another appropriate placement where supported.

Sponsor represents that Sponsor has the right to provide these materials and that Creator may use them for the purposes of producing, publishing, and promoting the sponsored Features.

4. Review and Revisions

Before publication, Creator will provide Sponsor with a review copy of the Feature.

Sponsor may request up to two rounds of reasonable revisions before publication. Reasonable revisions include edits for factual accuracy, clarity, disclosure compliance, obvious mistakes, or minor presentation issues.

Revisions do not include requiring Creator to re-record the entire Feature, change honest opinions, guarantee a different solve outcome, remove required sponsorship disclosures, or substantially change the agreed creative approach unless Creator agrees in writing.

If Sponsor approves the Feature by email, direct message, or another written communication, Creator may invoice and proceed as provided in Section 6.

5. Sponsorship Disclosure and Platform Compliance

Creator will clearly disclose that each Feature is sponsored in accordance with applicable disclosure requirements and the requirements of the platforms where the Feature is published.

At minimum, where applicable to the format and platform, Creator will:

  1. Verbally disclose the sponsorship in the Feature.
  2. Include a clear written sponsorship disclosure within the Feature.
  3. Include a written sponsorship disclosure in the description, caption, or equivalent field where supported.
  4. Use applicable paid promotion, branded content, or commercial content disclosure tools where Creator determines they are available and applicable.
  5. Avoid presenting any sponsored Feature as unpaid or purely organic content.

Sponsor may not ask Creator to hide, soften, omit, or make ambiguous the sponsored nature of the content.

6. Payment

Sponsor will pay Creator $300 USD for the Single Feature described in this Agreement.

Creator will send Sponsor an invoice after Sponsor approves the review copy and before publication. Sponsor must pay the invoice in full before Creator is required to publish the Feature.

Payment will be made to Rangsk Media, LLC using the payment method stated on the invoice.

7. Cancellation, Termination, and Non-Delivery

Sponsor may cancel without charge before Creator records or substantially begins production of the Feature. If Sponsor has prepaid, Creator will refund the payment.

If Sponsor cancels after Creator has recorded or substantially completed the Feature but before publication, Sponsor will owe a cancellation fee equal to 50% of the Per-Feature Fee. Creator will refund any prepaid amount above that fee.

After the Feature has been published, the fee is nonrefundable except as expressly provided in this Agreement.

If Creator is unable to complete or publish the Feature for reasons within Creator's control, Sponsor will not owe the Feature fee. If Sponsor has already paid it, Creator will refund it unless the Parties agree in writing to a reasonable substitute or rescheduled publication.

8. Publication Timing

The Parties will mutually agree on target publication dates for the Features. Creator will make reasonable efforts to publish each Feature on its agreed date, but exact timing may depend on platform processing, upload workflows, travel, family obligations, technical issues, or other reasonable constraints.

If publication is delayed for a reason outside Creator's reasonable control, the Parties will work in good faith to choose a new publication date.

Any target publication date that depends on Sponsor providing materials, access, review, approval, or payment is contingent on Creator receiving those items in time to reasonably meet the scheduled date. If Sponsor delay makes a scheduled publication date impractical, Creator may reschedule the Feature to the next reasonably available date. Such rescheduling is not a breach of this Agreement, and Creator is not required to displace other scheduled content or materially accelerate production to preserve a date affected by Sponsor delay.

Platform-specific versions of the same Feature need not be published at exactly the same time.

9. No Performance Guarantee

Creator does not guarantee any specific number of views, impressions, clicks, sign-ups, players, revenue, conversion rate, subscribers, followers, likes, comments, shares, or other performance results for a Feature or the engagement as a whole.

Sponsor understands that audience response and platform distribution are outside Creator's control. Historical audience or performance information does not establish a promised result, minimum delivery of views, or refund entitlement based on performance.

10. Links and Descriptions

Creator will include the agreed destination link in connection with each Feature where reasonably supported by the relevant platform, including descriptions, captions, pinned comments, on-screen text, or another appropriate placement.

Creator is not responsible for platform limitations that restrict clickable links or change how links appear to users. Sponsor is responsible for the accuracy and operation of its destination links and for providing any requested tracking link in time for publication.

11. Ownership and Usage Rights

Creator owns the Features and all Creator-created footage, editing, commentary, thumbnails or cover images, captions, and related content, subject to Sponsor's ownership of the Game, Sponsor's brand assets, and any materials Sponsor provides.

Sponsor grants Creator a limited, nonexclusive, worldwide license to use the Game's name, website, gameplay, screenshots, logos, and Sponsor-provided materials to create, publish, promote, and maintain the sponsored content. This license permits the agreed published content to remain available after the engagement ends.

Sponsor may share, embed, repost, or link to a published Feature or public platform post for organic promotional purposes, provided Sponsor does not edit the content in a misleading way and does not remove or obscure the sponsorship disclosure. This permission does not include raw footage or editable production files.

Sponsor may not use Creator's name, likeness, voice, Features, thumbnails, or related content in paid advertisements, whitelisted ads, Spark Ads, boosted posts, paid social campaigns, or other paid media without Creator's separate written permission.

No exclusivity is granted unless expressly stated in Special Terms. Creator retains any revenue paid to Creator by the publishing platforms unless otherwise expressly agreed in writing.

12. Confidentiality

The Parties may disclose that the Features are sponsored, and nothing in this Agreement restricts required sponsorship disclosures.

The Parties agree to keep non-public personal contact information, addresses, tax information, payment details, private messages, and non-public negotiated business terms confidential, except as needed for legal, tax, accounting, platform, or professional-advisor purposes, or as otherwise required by law.

13. Taxes

Creator is an independent contractor and is responsible for Creator's own taxes arising from payments under this Agreement.

Sponsor is responsible for any payer-side tax reporting obligations that may apply to Sponsor. Creator will provide reasonable tax documentation, such as a completed Form W-9, if Sponsor reasonably requires it for tax reporting.

14. Independent Contractor Relationship

Nothing in this Agreement creates an employment relationship, partnership, joint venture, agency relationship, or franchise relationship between the Parties. Creator is acting as an independent contractor.

15. Representations

Sponsor represents that:

  1. Sponsor has the authority to enter into this Agreement.
  2. Sponsor owns or controls the rights necessary for Creator to feature the Game and use Sponsor-provided materials as agreed.
  3. The Game, Sponsor-provided materials, and Sponsor-provided links do not knowingly infringe another party's intellectual property rights.
  4. Sponsor will not ask Creator to make false, misleading, unlawful, or undisclosed advertising claims.

Creator represents that:

  1. Creator has the authority to enter into this Agreement.
  2. Creator will make reasonable efforts to produce and publish the Features as described.
  3. Creator will make reasonable efforts to comply with applicable sponsorship disclosure requirements and relevant platform policies.

An individual signing for a company or other entity represents that the individual is authorized to bind that entity.

16. Platform Removal or Account Issues

If a platform removes, restricts, demonetizes, or limits a published Feature for reasons outside Creator's reasonable control, Creator is not required to refund the fee attributable to that Feature solely because of that platform action.

If a platform removes a Feature because Creator materially failed to comply with this Agreement, Creator will make reasonable efforts to correct the issue, re-upload where appropriate, or provide a reasonable substitute remedy.

If an agreed platform becomes unavailable before publication for reasons outside Creator's reasonable control, the Parties will work in good faith to agree on a substitute destination or revised delivery arrangement.

17. Limitation of Liability

Neither Party will be liable to the other for indirect, incidental, consequential, special, punitive, or lost-profit damages arising out of this Agreement.

Each Party's total liability under this Agreement will not exceed the amount paid or payable under this Agreement, except for confidentiality obligations, intentional misconduct, or infringement claims based on materials that Party provided.

18. Notices

Notices under this Agreement may be sent by email to the notice addresses listed at the beginning of this Agreement unless a Party later provides a different notice email in writing.

A notice sent by email will be considered received when sent unless the sender receives an automated delivery failure or bounce-back message. Either Party may also send notice by mail or courier to a mailing address that the other Party provides in writing.

Email is sufficient for approvals, revision requests, invoices, scheduling, cancellation, non-renewal, and other routine communications. Approvals and routine production decisions may also be recorded through another written channel agreed by the Parties.

19. Governing Law and Disputes

This Agreement will be governed by the laws of the State of Colorado, without regard to conflict-of-law rules.

The Parties will first try in good faith to resolve any dispute informally. If a dispute cannot be resolved informally, it may be brought in a court with proper jurisdiction in Colorado unless the Parties agree in writing to another forum.

20. Entire Agreement and Changes

This Agreement, including the Sponsorship details, any included Feature schedule, and any expressly stated Special Terms, is the entire agreement between the Parties regarding the Features described here. It replaces prior discussions about those same Features unless the Parties expressly identify a prior agreement that remains in effect.

An express Special Term controls over a conflicting standard provision only to the extent that the Special Term identifies the change. No Special Term may require unlawful conduct, false or misleading statements, or omission of required sponsorship disclosures.

Changes to fees, commitments, payment, cancellation or non-renewal, usage rights, governing law, dispute forum, or other material terms must be in writing and agreed to by authorized representatives of both Parties. Email or direct message confirmation is sufficient for routine approvals, scheduling, content selection, publication timing, and other non-material production details.

21. Electronic Signatures

The Parties may sign this Agreement electronically and in counterparts. Electronic signatures will have the same effect as handwritten signatures.

This Agreement becomes effective when both Parties have signed it.
